Terms of Service

These Terms of Service form an agreement between the person or organization using ugnAI (“Customer,” “you,” or “your”) and DeskXP, the provider of ugnAI (“we,” “us,” or “our”).

By creating a workspace, accepting an order, or using ugnAI, you agree to these terms and any applicable order form, service agreement, or data-processing agreement.

ugnAI is an AI-assisted customer messaging and ticketing platform. It may provide connected channels, structured tickets, customer records, workflows, knowledge retrieval, AI-generated content, internal notes, reporting, and human-handoff functionality.

Features, integrations, usage limits, and service availability may vary by plan or may change as the platform develops.

• You must provide accurate account and business information.
• You are responsible for users invited to your workspace and for assigning appropriate roles and access.
• You must keep credentials secure and notify us promptly of suspected unauthorized access.
• You must have authority to connect every Page, channel, inbox, email address, website, or external account used with ugnAI.

• Use ugnAI lawfully and in accordance with platform rules.
• Provide required privacy notices and obtain required permissions or consent from customers.
• Maintain accurate business instructions, policies, products, workflows, and knowledge entries.
• Review sensitive, high-risk, financial, medical, legal, or business-critical communications.
• Ensure human agents take over when AI assistance is inappropriate or insufficient.
• Comply with Meta, email, website, communications, consumer, and data protection requirements that apply to your business.

AI-generated replies, summaries, classifications, extracted fields, and recommendations may be incomplete, incorrect, delayed, or unsuitable for a particular customer or situation.

ugnAI does not make business decisions for you. You remain responsible for your communications, commitments, policies, refunds, payments, bookings, pricing, representations, and actions taken using AI output.

You must follow our Acceptable Use Policy.

We may suspend or restrict use that threatens security, violates law, harms another person, abuses third-party platforms, or creates material risk to ugnAI or its users.

You retain ownership of the business and customer content submitted to ugnAI. You authorize us and our service providers to process that content only as necessary to operate, secure, support, and improve the service and fulfill our contractual obligations.

You are responsible for ensuring you have the rights and lawful basis needed to provide the content to ugnAI.

ugnAI may depend on services provided by Meta, OpenAI, Supabase, Vercel, Amazon Web Services, email providers, and other third parties. Their outages, policy changes, permission reviews, rate limits, account restrictions, and discontinued features may affect ugnAI.

We are not responsible for third-party products or decisions outside our reasonable control.

Fees, setup charges, usage allowances, included users, channels, support terms, and billing periods may be described in the applicable quotation, invoice, order form, or service agreement.

Usage exceeding plan limits may be restricted, paused, routed for human handling, or subject to additional fees where agreed.

ugnAI, its software, design, branding, documentation, and underlying technology remain the property of DeskXP and its licensors.

These terms grant you a limited, non-exclusive, non-transferable right to use the service during your active subscription or authorized trial.

Each party must protect confidential information received from the other party and use it only for the relationship covered by these terms, except when disclosure is required by law.

You may stop using ugnAI at any time, subject to applicable contractual or payment commitments. We may suspend access for non-payment, security threats, illegal use, platform abuse, or material breach.

Following termination, data may remain available for a limited export or recovery period before deletion, anonymization, or removal from active systems, subject to legal and backup retention.

We may modify, add, remove, or discontinue functionality. We do not guarantee that the service will always be uninterrupted, error-free, or compatible with every third-party platform.

To the maximum extent permitted by law, ugnAI is provided on an “as is” and “as available” basis. We do not guarantee specific revenue, response time, customer satisfaction, automation accuracy, or business outcome.

To the maximum extent permitted by law, DeskXP will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, loss of goodwill, or loss of data.

Any aggregate liability will be limited to the fees paid for the affected service during the period stated in the applicable commercial agreement, except where such limitation is prohibited by law.

Our processing of personal information is described in the Privacy Policy. Additional processor obligations may be covered by a separate data-processing agreement.

We may update these terms. Continued use after an updated version takes effect constitutes acceptance where permitted by law.
